TradeBricks Terms of Use

Effective June 15, 2026

These Terms of Use are the binding agreement between you and TradeBricks. TradeBricks is research and education software for building and backtesting trading strategies — it is not investment advice, not a broker-dealer, and not a registered investment adviser. Please read the Subscription & Billing, No Chargebacks, Disclaimers, Limitation of Liability, and Dispute Resolution sections carefully, as they affect your legal rights.

1. 1. Introduction and Acceptance

These Terms of Use (the "Terms") are a legally binding agreement between you ("you," "your," or "User") and TradeBricks, operated by an individual sole proprietor under the name TradeBricks ("TradeBricks," "we," "us," or "our"), governing your access to and use of the TradeBricks website, web application, and related services (collectively, the "Service"), including the free tier and the paid "TradeBricks Pro" subscription.

BY CLICKING "I AGREE" (OR A SIMILAR CONTROL), CREATING AN ACCOUNT, SUBSCRIBING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND BY THE DOCUMENTS INCORPORATED BY REFERENCE BELOW. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

These Terms incorporate by reference, and you also agree to, the following documents, each of which is part of this agreement: the Privacy Policy, the Refund & Chargeback Policy, and the Risk Disclosure & Disclaimer. If there is a direct conflict between these Terms and one of those documents on a topic that the other document specifically governs (for example, refunds and chargebacks), the more specific document controls as to that topic.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS THAT LIMIT OUR LIABILITY (Section 13), REQUIRE YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND TO WAIVE CLASS ACTIONS AND JURY TRIALS (Section 18), PROHIBIT CHARGEBACKS (Section 9), AND STATE THAT THE SERVICE IS FOR EDUCATION AND RESEARCH ONLY AND IS NOT FINANCIAL ADVICE (Section 11).

2. 2. Eligibility and Age Requirement

The Service is intended only for users who are at least eighteen (18) years old. By accessing or using the Service, you represent and warrant that you are at least 18 years of age, that you have the legal capacity and authority to enter into these Terms, and that your use of the Service does not violate any law or regulation applicable to you.

The Service is directed to users in the United States and is not directed to children. We do not knowingly collect personal information from anyone under 18 (or under 13 within the meaning of the U.S. Children's Online Privacy Protection Act). If you are not eligible, you must not use the Service. If you are entering into these Terms on behalf of an entity, you represent that you are authorized to bind that entity, in which case "you" refers to that entity.

3. 3. The Service

TradeBricks is a web-based platform for visually building, backtesting, and (where you choose to enable it) connecting systematic trading strategies from drag-and-drop components ("bricks"). The Service provides research and educational tools, including a strategy builder (the "Lab"), backtesting and simulation features, an optional live-trading connection layer (the "Trader"), a community marketplace for sharing strategies (the "Market"), documentation, and automated and AI-assisted features.

Regardless of tier, the Service is research and education software only. It is a tool, not a source of advice. Nothing in the Service creates an advisory, brokerage, fiduciary, agency, or similar relationship between you and TradeBricks. See Section 11 (Disclaimers; Educational Use Only) and the Risk Disclosure & Disclaimer.

We may change, add, remove, suspend, or discontinue any part of the Service — including free-tier features, bricks, data sources, AI features, the Market, or live-trading integrations — at any time, with or without notice, and without liability to you, subject to the cancellation and refund terms in Section 8 and the Refund & Chargeback Policy.

4. 4. Accounts and Account Responsibilities

To access most features you must create an account using Google sign-in or an email address and password through our authentication provider. You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for:

  • maintaining the confidentiality of your account login credentials;
  • all activity that occurs under your account, whether or not authorized by you;
  • using a strong, unique password and enabling available account protections; and
  • promptly notifying us at info@tradebricks.io if you suspect any unauthorized access to or use of your TradeBricks account.

Your account is personal to you. You may not share, sell, rent, sublicense, or transfer your account or access to it. We may suspend or terminate accounts as described in Section 16.

5. 5. License to Use the Service

Subject to your compliance with these Terms and, for paid features, your active TradeBricks Pro subscription, TradeBricks grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your own internal research and educational purposes.

TradeBricks and its licensors retain all right, title, and interest in and to the Service, including the brick catalog, the backtesting engine, all software, the user interface, documentation, and the TradeBricks name and logos. All rights not expressly granted are reserved. No rights are granted to use TradeBricks' trademarks, logos, or branding. The Service and its content are protected by intellectual-property and other laws, and you agree not to remove, obscure, or alter any proprietary notices.

6. 6. Acceptable Use

You agree not to, and not to permit or assist anyone else to:

  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the limited extent applicable law expressly permits despite this restriction;
  • scrape, crawl, spider, or use automated means to access, harvest, index, or copy the Service or any part of the Market;
  • circumvent, disable, or interfere with usage limits, rate limits, paywalls, security features, or the boundary between the free tier and TradeBricks Pro;
  • share, resell, sublicense, or otherwise make your account or access available to any third party;
  • upload, transmit, or introduce any virus, malware, or other harmful code;
  • attempt to gain unauthorized access to any account, system, network, or data, including any attempt to access another user's account, device-stored data, API keys, or broker credentials;
  • use the Service to provide investment, financial, or trading advice to, or to manage assets of, any third party;
  • engage in market manipulation, fraud, or any unlawful trading or other unlawful activity;
  • publish or transmit content that is unlawful, infringing, fraudulent, deceptive, defamatory, harassing, obscene, or otherwise in violation of these Terms or the rights of others; or
  • impose an unreasonable or disproportionately large load on the Service, the backtesting engine, or our infrastructure.

We may, but are not obligated to, monitor, investigate, screen, refuse, remove, or disable access to any content or activity that we believe violates these Terms or applicable law. We may take such action without notice and without liability, and a termination for cause does not entitle you to any refund.

7. 7. User Content and Published Strategies

7.1 Your Content

"User Content" means anything you create, upload, or publish through the Service, including private strategies, and — if you choose to publish to the Market — strategy specifications (bricks, parameters, and connections), titles, descriptions or theses, tags, comments, profile information, and your public handle. You retain ownership of your User Content.

7.2 License You Grant to TradeBricks

You grant TradeBricks a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, and create derivative works of your User Content for the purposes of operating, improving, and promoting the Service. For private strategies that you do not publish, this license is limited to what is necessary to provide the Service to you.

7.3 Publishing to the Market and the Fork License

When you Publish a strategy to the Market, the strategy's name, description, tags, your public handle, and associated social activity (such as likes, forks, follower counts, and any comments you post) become publicly visible to anyone. In addition to the license in Section 7.2, you grant every other user of the Service a non-exclusive, royalty-free license to view, copy, fork, modify, re-test, and re-publish forks of your published strategy.

You understand that a published strategy is a portable specification (bricks, parameters, and connections) that will be attributed to your account and that forks may evolve beyond your control. You may unpublish or delete your published content at any time, which stops new distribution by us; however, unpublishing does NOT retract or terminate licenses already exercised by others or copies and forks already made before you unpublished. Do not publish anything you consider private.

7.4 Your Representations

You represent and warrant that you own or have all rights necessary to provide and publish your User Content, that it does not infringe or violate any third party's intellectual-property, privacy, publicity, or other rights, and that it is not unlawful, fraudulent, deceptive, defamatory, or otherwise in violation of these Terms. TradeBricks does not endorse, vet for suitability, verify, or guarantee any User Content, including any published or forked strategy, and is not responsible for content published by other users.

7.5 Creator Earnings

Any creator earnings, follower-based payouts, or revenue-sharing program is offered at TradeBricks' sole discretion under separate program terms. TradeBricks may modify, suspend, or discontinue any such program, or change payout rates and eligibility, at any time without liability.

8. 8. Subscription and Billing

8.1 Tiers and Pricing

TradeBricks offers a free tier with limited features and no payment obligation, and a paid subscription, TradeBricks Pro, offered at $20.00 USD per month or $144.00 USD per year. All fees are stated and charged in U.S. Dollars. The price displayed to you at the time of purchase governs your subscription. We may offer promotional pricing or discount codes from time to time; any such offer applies only as stated, may be time-limited, and the standard then-current price applies on renewal unless we state otherwise.

8.2 Recurring Billing Authorization

When you purchase TradeBricks Pro, you authorize TradeBricks and our payment processor, Stripe, Inc. ("Stripe"), to charge your designated payment method the applicable subscription fee on a recurring basis — monthly or annually, depending on the plan you select — together with any applicable taxes, automatically at the start of each billing period, until your subscription is canceled in accordance with these Terms. You represent that you are authorized to use the payment method you provide.

8.3 Automatic Renewal

YOUR TRADEBRICKS PRO SUBSCRIPTION AUTOMATICALLY RENEWS AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUAL) AT THE THEN-CURRENT PRICE, AND YOUR PAYMENT METHOD WILL BE CHARGED AUTOMATICALLY UNTIL YOU CANCEL. The renewal charge recurs each period for the length of the term you selected. You may cancel at any time; cancellation takes effect at the end of the current paid period, and the current period is not refunded or prorated.

8.4 Payments Through Stripe

All payments are processed by Stripe through Stripe-hosted checkout and billing pages. Your payment-card and billing information is collected and stored by Stripe under its own terms and privacy policy; TradeBricks does not receive, process, or store your full payment-card number, security code, or bank-account details. You are responsible for keeping your payment information accurate and up to date, and your use of Stripe-hosted checkout and the billing portal is subject to Stripe's terms.

8.5 Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added (VAT), goods-and-services (GST), and other taxes, duties, or governmental assessments associated with your subscription, excluding taxes based on TradeBricks' net income. Where required, applicable taxes will be added to your total and collected through Stripe. You are also responsible for any foreign-transaction, conversion, or bank fees imposed by your card issuer.

8.6 Cancellation

You may cancel your TradeBricks Pro subscription at any time through Account Settings → Manage Billing (which opens our Stripe-hosted billing portal) or by emailing info@tradebricks.io. If you subscribed online, you may cancel online without additional steps. Cancellation stops future renewals and takes effect at the end of your current billing period; you will retain Pro access until that date.

8.7 No Refunds on Cancellation

Except as required by applicable law or granted by TradeBricks in its sole discretion, fees already paid for the current period are non-refundable and are not prorated. Refunds and chargebacks are governed by the Refund & Chargeback Policy and by Sections 9 and 12 of these Terms.

8.8 Failed Payments

If a recurring charge cannot be completed (for example, due to an expired card or insufficient funds), we and Stripe may attempt to charge your payment method again. If payment remains unsuccessful, we may suspend or terminate your access to TradeBricks Pro or downgrade your account to the free tier, without limiting any amounts you owe.

8.9 Price Changes

We may change subscription prices, plans, or included features. For existing subscribers, any price increase will take effect on your next billing period only after we give you reasonable advance notice (at least 30 days) by email to the address associated with your account or by in-app notice. If you do not agree to a price change, you may cancel before it takes effect; by not canceling and allowing your subscription to renew at the new price, you accept the change.

8.10 Statutory Consumer Rights

Nothing in these billing terms limits any rights you have that cannot be waived under applicable law, including U.S. state automatic-renewal laws (such as the California Automatic Renewal Law) and, for consumers in the EU/EEA and UK, the statutory right of withdrawal. Because TradeBricks Pro is digital content and services supplied immediately upon purchase, by subscribing and requesting immediate access you (a) expressly consent to begin the service during any applicable withdrawal period and (b) acknowledge that you thereby lose your right of withdrawal once the service has begun.

9. 9. No Chargebacks

Before initiating any payment dispute or chargeback, you agree to contact TradeBricks at info@tradebricks.io and to give us a reasonable opportunity (at least ten (10) business days) to investigate and resolve your concern.

YOU AGREE NOT TO INITIATE, REQUEST, ENCOURAGE, OR PURSUE A CHARGEBACK, PAYMENT REVERSAL, OR PAYMENT DISPUTE WITH YOUR BANK, CARD ISSUER, OR PAYMENT PROVIDER in connection with any charge you authorized or that is otherwise valid under these Terms. Nothing in this Section limits any non-waivable right you may have under applicable law to dispute a genuine billing error or an unauthorized transaction; we cannot, and do not attempt to, eliminate that statutory right. Instead, you agree as a matter of contract that initiating a chargeback for an authorized or valid charge is a breach of these Terms.

Initiating a chargeback or payment dispute in violation of this Section is a material breach of these Terms. In that event, TradeBricks may, without limiting its other rights and remedies:

  • immediately suspend or terminate your account and access to the Service;
  • submit these Terms, your usage records, your consent records, and other evidence to contest and seek reversal of the dispute; and
  • treat the disputed amount, if owed, as an outstanding debt and recover it together with any chargeback, representment, bank, and payment-processor fees and reasonable costs of collection, including attorneys' fees, in each case to the maximum extent permitted by applicable law.

You agree to reimburse TradeBricks for amounts lost to a wrongful chargeback and for the associated fees and costs described above. Our right to recover those fees, costs, and attorneys' fees is not an absolute entitlement: it applies only to the extent permitted by applicable law, and some jurisdictions limit such recovery or require any prevailing-party fee provision to be reciprocal. This Section is in addition to, and reinforced by, the indemnification provision in Section 14.

10. 10. Refunds

Except where required by applicable law or expressly granted by TradeBricks in its sole and absolute discretion, all fees and charges for the Service, including TradeBricks Pro subscription fees, are final and non-refundable, whether or not you used the Service during the applicable billing period, and no refunds or credits are provided for partial periods, unused features, or downgrades.

TradeBricks may, in its sole and absolute discretion, issue a refund, credit, or other accommodation in an individual case. Any such accommodation is a one-time courtesy, does not modify these Terms, and does not entitle you or any other user to a refund in any other instance. To request a discretionary refund, email info@tradebricks.io. Full details are set out in the Refund & Chargeback Policy, which is incorporated into these Terms.

11. 11. Disclaimers; Educational Use Only; No Warranties

11.1 Educational and Research Use Only; No Advice

TradeBricks provides the Service for research, educational, and informational purposes ONLY. The Service is a tool, and it is not, and must not be relied on as, a source of advice. NOTHING ON OR PRODUCED BY THE SERVICE CONSTITUTES INVESTMENT, FINANCIAL, LEGAL, ACCOUNTING, TAX, OR TRADING ADVICE, OR ANY RECOMMENDATION, SOLICITATION, OR OFFER to buy, sell, or hold any security, futures contract, option, digital asset, or other financial instrument. This includes, without limitation, any strategy, brick, backtest result, verdict, score, metric, chart, AI-assistant output, documentation, or Market content.

11.2 Not a Broker-Dealer or Adviser; No Fiduciary Duty

TradeBricks is NOT a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, exchange, or financial institution, and is NOT registered with or regulated by the U.S. Securities and Exchange Commission, FINRA, the U.S. Commodity Futures Trading Commission, the National Futures Association, or any other regulatory body or self-regulatory organization. Your use of the Service does NOT create any advisory, brokerage, fiduciary, agency, or confidential relationship between you and TradeBricks, and we owe you no fiduciary or best-interest duty of any kind.

11.3 No Custody; No Execution by TradeBricks

TradeBricks does not custody, hold, or have access to your funds, securities, or accounts, and does not place, route, or execute orders. Any live trade execution is initiated by you and runs through your own broker or aggregator connection (for example, SnapTrade). You alone control your accounts and orders.

11.4 Hypothetical Performance; Backtests Are Not Predictive

BACKTESTS, SIMULATIONS, PAPER-TRADING RESULTS, VERDICTS, AND PERFORMANCE STATISTICS (INCLUDING SHARPE RATIO, PROBABILITY OF BACKTEST OVERFITTING, DEFLATED SHARPE RATIO, AND SIMILAR METRICS) ARE HYPOTHETICAL. They are calculated with the benefit of hindsight on historical data, do not represent actual trading, do not reflect actual capital at risk, and are subject to inherent limitations — including that they are prepared after the fact and may not account for all real-world costs, slippage, liquidity, latency, or market impact. PAST OR HYPOTHETICAL PERFORMANCE IS NOT INDICATIVE OF, AND DOES NOT GUARANTEE, FUTURE RESULTS. A positive backtest is a not-yet-falsified hypothesis, not a promise; markets change and any apparent edge can decay or disappear. See the Risk Disclosure & Disclaimer for more detail.

11.5 Third-Party Data and Content

Market data, alternative data, fundamentals, and any third-party or user-published content may be inaccurate, incomplete, delayed, unavailable, or out of date. TradeBricks does not warrant the accuracy, completeness, timeliness, or fitness of any such data or content, and is not responsible for any third-party data provider, broker, or aggregator, or for any strategy or content published by other users.

11.6 AI and Automated Outputs

AI-generated and automated outputs — including assistant responses, generated strategies, and engine verdicts — are informational only, may be inaccurate or incomplete, and do not constitute advice. You must independently verify any output before relying on it. Documentation, FAQs, tutorials, and Market strategies are general educational materials only; they are not tailored to your financial situation, objectives, or risk tolerance, and no part of the Service performs a suitability or appropriateness determination for you.

11.7 As-Is; Disclaimer of All Warranties

THE SERVICE AND ALL CONTENT, DATA, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEBRICKS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY RESULT, VERDICT, OR DATA WILL BE ACCURATE OR RELIABLE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case, the exclusions apply to the fullest extent permitted by the law of your jurisdiction. These disclaimers apply equally to the free and TradeBricks Pro tiers, are a material basis of the bargain, and survive any termination of your account or these Terms.

12. 12. Assumption of Risk

YOU UNDERSTAND AND AGREE THAT TRADING AND INVESTING IN FINANCIAL INSTRUMENTS INVOLVE A SUBSTANTIAL RISK OF LOSS, INCLUDING THE POSSIBLE LOSS OF ALL CAPITAL, AND ARE NOT SUITABLE FOR EVERYONE. Leveraged products such as futures and options, and prop-firm evaluations, carry a high level of risk, and you may lose some, all, or more than the amounts you commit. You should only risk capital you can afford to lose. YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SERVICE AND FROM ANY TRADING OR INVESTMENT DECISIONS YOU MAKE.

You are solely responsible for the strategies you build, the parameters you configure, your interpretation of any backtest or output, and every trade or order placed through any connected broker or aggregator — including erroneous, duplicate, mistimed, or unintended orders. TradeBricks does not place trades for you and does not direct your trading; any decision to deploy a strategy with real capital is yours alone. You should consult your own licensed financial, legal, and tax professionals before making any trading or investment decision, and any reliance you place on the Service or its outputs is strictly at your own risk.

13. 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEBRICKS WILL NOT BE LIABLE FOR ANY: (a) trading, investment, or financial losses or lost funds; (b) missed, failed, delayed, or erroneous trades or orders; (c) inaccurate, delayed, or unavailable market or account data; (d) interruption, downtime, suspension, bugs, or errors in the Service; (e) unauthorized access to, or loss, theft, leak, or compromise of, your account, device, API keys, or credentials; or (f) any act, omission, outage, or failure of any third party, including brokers, SnapTrade, Stripe, Google/Firebase, or data providers.

IN NO EVENT WILL TRADEBRICKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST TRADING GAINS, TRADING OR INVESTMENT LOSSES, LOST DATA, OR LOSS OF GOODWILL, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF TRADEBRICKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TRADEBRICKS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU ACTUALLY PAID TO TRADEBRICKS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US$100).

You acknowledge that the disclaimers, exclusions, and limitations in these Terms reflect a reasonable allocation of risk between you and TradeBricks, form an essential basis of the bargain and of the price at which the Service is offered, and that TradeBricks would not provide the Service on these terms without them.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, OR ANY NON-WAIVABLE CONSUMER-PROTECTION RIGHTS. If any limitation or exclusion is held unenforceable in a jurisdiction, TradeBricks' liability is limited to the least amount permitted by law in that jurisdiction, and the remaining provisions remain in full force.

14. 14. Indemnification

You will defend, indemnify, and hold harmless TradeBricks (TradeBricks) and its affiliates, officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your strategies, configurations, or User Content; (c) your trades, orders, or connected broker or aggregator accounts; (d) your violation of these Terms or any applicable law or regulation; (e) your infringement or violation of any third-party right; or (f) any chargeback or payment dispute you initiate in violation of Section 9.

TradeBricks may, at its own expense, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with TradeBricks' defense. This Section does not require you to indemnify TradeBricks for liability arising from TradeBricks' own fraud, gross negligence, or willful misconduct, or to the extent indemnification is prohibited by applicable law.

15. 15. Security, Broker Keys, and Third-Party Services

15.1 Storage of Broker Keys

When you enter an API key or other credential for a direct broker or prop-firm connection (for example, a TopstepX / ProjectX API key), that credential is transmitted over an encrypted connection (HTTPS), together with your TradeBricks authentication and App Check token, to a TradeBricks server-side function. That function verifies the credential with the broker and then stores it encrypted in a server-side secrets vault (Google Secret Manager), where access is restricted by least-privilege permissions and the credential is used only by your own live-trading worker. The credential is not retained in your browser; only a non-secret marker, such as your username, is stored locally to show the connection as active, and disconnecting the broker deletes the stored credential. Where live trading is available through a third-party aggregator (such as SnapTrade), the link to your brokerage is held by that aggregator and TradeBricks never receives your raw broker credentials at all. Our handling of these credentials is described further in our Privacy Policy.

15.2 Your Security Responsibilities; No Guarantee of Security

You are solely responsible for securing your device, browser, and operating system; for keeping your TradeBricks login and any broker or prop-firm credentials confidential; and for all activity that occurs under your account. No internet transmission or electronic storage is ever completely secure. While TradeBricks takes measures it considers reasonable to protect the Service — including storing any direct-broker API key encrypted in a server-side secrets vault rather than in plaintext — we do not and cannot guarantee that the Service, your account, your data, or any transmission to or from the Service is or will be secure or free from interception, unauthorized access, errors, viruses, or other harmful components. You use the Service at your own risk.

15.3 Disclaimer for Lost or Leaked Keys, Unauthorized Access, and Breaches

To the maximum extent permitted by applicable law, TradeBricks is not liable for any loss, theft, leakage, or unauthorized use of your API keys, tokens, secrets, or other credentials, or for any unauthorized access to, or any trades, orders, or transactions executed through, your broker, prop-firm, or TradeBricks account — including where these result from compromise of your device, malware, phishing, your own acts or omissions, or the acts of any third party. Except to the extent such liability cannot be excluded or limited under applicable law, TradeBricks shall not be liable for any security breach, intrusion, hacking, data breach, or any loss, corruption, deletion, or unauthorized disclosure of data, including data you store in or transmit through the Service. In the event of a security incident affecting your personal information, TradeBricks will notify you and any applicable authority to the extent, and within the time, required by applicable law, and otherwise as we determine appropriate, as further described in our Privacy Policy.

15.4 Third-Party Services

TradeBricks relies on and integrates with third-party services, including Google Firebase (authentication, database, and hosting) and Stripe (payment processing), and you may choose to connect third-party brokers, aggregators (such as SnapTrade), or data providers. TradeBricks is not responsible for the security, availability, acts, omissions, or data and credential handling of any third party. Your use of any connected third-party service is governed by that third party's own terms and security and privacy policies, and any credentials you transmit to such a service leave TradeBricks' control. The disclaimers and limitations in Sections 11 and 13 reinforce this Section.

16. 16. Suspension and Termination

You may stop using the Service and delete your account at any time, and you may cancel TradeBricks Pro as described in Section 8.

TradeBricks may suspend or terminate your access to the Service, in whole or in part, with or without notice, for any breach of these Terms, suspected fraud, an unlawful or prohibited use, a chargeback initiated in violation of Section 9, non-payment, or any conduct we determine poses a risk to the Service, to other users, or to us. On termination, the licenses granted to you under Section 5 end and your access may be revoked. Termination for cause does not entitle you to any refund.

Sections that by their nature should survive termination will survive, including Sections 5 (only as to TradeBricks' retained rights), 7 (User Content), 9 (No Chargebacks), 10 (Refunds), 11 (Disclaimers), 12 (Assumption of Risk), 13 (Limitation of Liability), 14 (Indemnification), 15 (Security), 17 (Governing Law), 18 (Dispute Resolution), and 19 (General).

17. 17. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Subject to Section 18 (Dispute Resolution), the exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Florida, and you consent to personal jurisdiction there.

This choice of law and venue does not override mandatory consumer-protection laws of your home jurisdiction that apply notwithstanding a contractual choice of law, including the non-waivable rights of consumers in certain U.S. states (such as California) and in the EU/EEA and UK.

18. 18. Dispute Resolution; Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

18.1 Informal Resolution First

Before initiating arbitration, the complaining party must send a written notice of dispute to the other party (to TradeBricks at info@tradebricks.io) describing the dispute and the relief sought, and must allow thirty (30) days for good-faith informal resolution.

18.2 Binding Individual Arbitration

Except as provided below, you and TradeBricks agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement.

18.3 Class-Action and Jury-Trial Waiver

YOU AND TRADEBRICKS WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Disputes must be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. If a court or arbitrator decides that this class-action waiver is unenforceable as to a particular claim, then that claim (and only that claim) will be severed from arbitration and may proceed in court, while all other claims remain in arbitration.

18.4 Carve-Outs

Notwithstanding the above, (a) either party may bring an individual claim that qualifies in small-claims court; (b) either party may seek injunctive or other equitable relief in court to protect its intellectual-property rights; and (c) nothing in this Section requires arbitration of claims that may not lawfully be subject to a pre-dispute arbitration agreement, including, where applicable, claims of sexual assault or sexual harassment, which you may bring in court to the extent the law so provides.

18.5 30-Day Opt-Out

You may opt out of this arbitration agreement by emailing info@tradebricks.io within thirty (30) days after you first accept these Terms, stating your name, the account email, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.

19. 19. General

19.1 Modification of These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the "Effective" date and, where appropriate, by email or in-app notice, and — where required by law or for significant changes — we may ask you to affirmatively accept the updated Terms. Changes are effective when posted unless stated otherwise. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your subscription. We record the version of these Terms you accepted, together with the date, time, and your account identifier, as evidence of your agreement.

19.2 Electronic Communications and Consent

You consent to receive communications from us electronically — including these Terms, the Privacy Policy, billing and transactional notices, account and password-reset emails, and legal notices — and you agree that electronic agreements, notices, disclosures, and records satisfy any legal requirement that such communications be in writing or signed.

19.3 Notices

We may provide notices to you by email to the address associated with your account or by posting within the Service; such notices are deemed received when sent or posted. You may send legal notices to TradeBricks at info@tradebricks.io.

19.4 Assignment

You may not assign or transfer these Terms or your account, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section is void. TradeBricks may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

19.5 Force Majeure

TradeBricks is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental or regulatory action, exchange or market halts, power or internet failures, cyberattacks, and the acts, failures, or downtime of third-party providers such as Google Firebase, Stripe, SnapTrade, brokers, prop firms, and data providers.

19.6 No Third-Party Beneficiaries

These Terms are solely for the benefit of you and TradeBricks and do not create any third-party beneficiary rights, except that TradeBricks' affiliates, officers, directors, employees, and agents are intended beneficiaries of the disclaimer, limitation-of-liability, and indemnification provisions (Sections 11, 13, and 14).

19.7 Severability; No Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect (subject to the specific severability rule for the class-action waiver in Section 18.3). Our failure to enforce a provision is not a waiver of it, and any waiver must be in writing to be effective.

19.8 Entire Agreement

These Terms, together with the Privacy Policy, the Refund & Chargeback Policy, and the Risk Disclosure & Disclaimer (each incorporated by reference), constitute the entire agreement between you and TradeBricks regarding the Service and supersede all prior or contemporaneous agreements and understandings. No oral modification is effective.

19.9 Savings Clause for Consumer Rights

Nothing in these Terms is intended to exclude or limit any right you have under mandatory consumer-protection law in your jurisdiction. To the extent any provision conflicts with such a non-waivable right, that right prevails and the remainder of these Terms remains in effect.
